1. Prizes
The country most represented by fans in the ZeMis Facebook Fan page will receive free promotion from ZeMis for a period of one (1) month ("Country Prize"). A minimum of one (1) fan from that country will be randomly selected by ZeMis and will be eligible to win one (1) accessory ("Individual Prize") each from ZeMis' Spring-Summer 2010 or Fall-Winter’09-10 collection.
2. Eligibility
The ZeMis Facebook Fan Global Rally (the "Promotion") is administered by ZEMIS LTD ("ZeMis" or "Administrator") and is open to residents in all jurisdictions where receipt of prizes or entry in the Promotion is not prohibited by their respective federal, national and/or local laws, rules or regulations. Employees of ZeMis or any of its respective affiliates, subsidiaries, marketing agencies, participating sponsor or any other company involved with the design, production, execution or distribution of the Promotion and their immediate family (spouse, parents, siblings and children) and household members of each such employees are not eligible to win the Individual Prize but may still be a member of the ZeMis Facebook fan page and his/her fan membership may be counted towards the total fan base per country. The Promotion is subject to all applicable federal/national, state and local laws and regulations of applicable jurisdictions. Void where prohibited.
Participation constitutes entrant's full and unconditional agreement to these Promotion Mechanics and Official Rules and ZeMis's decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. This will automatically sign you up for the Promotion and make you eligible to join future promotions and sales events. You only need to sign up to become a fan once and will only be entitled to one Fan Page entry regardless of the number of Facebook accounts you hold and register as a fan of ZeMis. You need to have a valid Facebook account to be a fan.
General Terms and Conditions Regarding How to Join:
Entry requires a valid Facebook account. Multiple participants are not permitted to share the same Facebook account. Any attempt by any participant to obtain more entries by using multiple/different Facebook accounts, identities, registrations and logins, referring fake names and/or e-mail addresses, or any other methods will void that participant's entry and that participant may be disqualified. 5. Winner Selection and Announcement:
All entries must be properly received by April 30, 2010 at 11:59 p.m. Eastern Time. ZeMis will randomly select as many entries as the prizes available for give away. The country with the most number of ZeMis fans based on the statistic "Top Countries" indicated in the ZeMis Facebook Fan Statistics Page shall be declared "Country Winner" and eligible to win the Country Prize. The person who submitted the selected entry assigned to the Individual Prize will be awarded such prize after proper identification by the Administrator as the Validated Individual Prize Winner.
Winners of the Promotion shall be announced on http://www.zemis.com, http://www.facebook.com/ZemisFans and via online newsletter before May 31, 2010 Eastern Standard Time.
6. Verification and Notification of Potential Winners
ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY ADMINISTRATOR WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION.
Notified Winners must continue to comply with all terms and conditions of these Promotion Mechanics and Official Rules, and winning is contingent upon fulfilling all requirements, including an interview or short marketing survey. Potential Winners will be notified with a message sent to their Facebook account used for entry either via wall post or Facebook e-mail message. This potential winner must respond within 72 hours of notification. Once the potential winner has been verified to the satisfaction of the Administrator, the Administrator will arrange for prize fulfillment. If any of the selected potential Winners is determined to be ineligible by the Administrator, or cannot be contacted, fails to respond within the required time period, or if the prize or prize notification is returned as undeliverable, or if the prize notification does not make it to the potential winner due to an anti-Spam program or some other firewall or Internet-related delivery issue, the potential winner forfeits prize and is disqualified. Otherwise, the selected potential winners become the Validated Winners. 7. Odds of Winning
The odds of winning the Country Prize depend on several uncontrollable factors such as but not limited to: the country’s population, internet population and Facebook population, accurate registration of country by Facebook account holders, willingness of fellow countrymen to sign up to be a ZeMis fan. The odds of winning an Individual Prize will depend on the number of ZeMis fans from the Top Country and the number of Individual Prize that will be declared by the Administrator. There will be a minimum of one (1) and a maximum of three (3) Individual Prizes to be given away.
8. Release
By entering this Promotion, entrant agrees to release and hold harmless Administrator and their respective subsidiaries, affiliates, suppliers, distributors, marketing/promotion agencies and each of their respective parent companies and each such company's officers, directors, employees and agents (collectively, the "Released Parties") from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Promotion or receipt or use or misuse of any prize.

If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another entry in the Promotion, provided that if it is not possible to award another entry due to discontinuance of the Promotion, or any part of it, for any reason, Administrator, at its discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In event that production, technical, seeding, programming or any other reasons cause more than stated number of prizes as set forth in these Promotion Mechanics and Official Rules to be available and/or claimed, Administrator reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.
12. Disputes
Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any prizes awarded, other than those concerning the administration of the Sweepstakes or the determination of Country and Individual Winners, shall be resolved individually, without resort to any form of class action; (ii) any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any prizes awarded, shall be resolved exclusively by the British Virgin Islands District Court ; (iii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (iv) under no circumstances will entrant or claimant be permitted to obtain awards for, and entrant or claimant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses , and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Promotion Mechanics and Official Rules, or the rights and obligations of the entrant and Administrator in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the British Virgin Islands, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the British Virgin Islands.

Promotion Results
We shall announce the Promotion results via wall post on the ZeMis fan page, ZeMis website and in all newsletters and press releases relating to this Promotion. We shall always post a copy of these Promotion Mechanics and Official Rules on the ZeMis Facebook Fan Page for the entire duration of this Promotion.
